These Terms & Conditions (the “Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and the XOOX Foundation, a non-profit entity governed by the laws of the Republic of Korea (hereinafter “we,” “us,” or “our”). These Terms govern your access to and use of our website at www.xooxfoundation.org, the XOOX W application, Social-to-Earn mechanisms, NFT marketplace, blockchain features, and all related services, content, and functionalities (collectively, the “Services”). By accessing or using the Services, you affirm that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy incorporated herein by reference. If you do not agree, you must immediately cease use of the Services.
1. Acceptance and Modifications
Your use of the Services signifies acceptance of these Terms. We may modify the Terms at our sole discretion by posting updated versions on our website. Material changes will be notified via email or in-app alerts, and your continued use thereafter constitutes acceptance. It is your responsibility to review the Terms periodically.
2. Eligibility and Account Registration
To use the Services, you must:
* Be at least 18 years of age or the legal age of majority in your jurisdiction.
* Not be barred from using similar services under applicable laws.
* Provide accurate, current, and complete information during registration. Accounts may be created via email, social login, or wallet connection. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. Notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts for violations.
3. Description of Services
Our Services include:
* XOOX W App: A mobile platform for tracking pet walks, earning points redeemable for rewards (e.g., pet supplies, tokens), participating in challenges, and connecting with pet communities.
* Marketplace: A decentralized platform for buying/selling pet-related NFTs, products, and services using XOOX Tokens.
* Blockchain Integration: Utilization of Polygon network for token issuance, smart contracts, and data ownership, enabling transparent value redistribution.
* Educational and Welfare Programs: Resources on pet care, anti-abandonment campaigns, and metaverse-based interactions. Services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied.
4. User Conduct and Prohibitions
You agree to use the Services lawfully and ethically. Prohibited actions include:
* Uploading content promoting animal cruelty, discrimination, or illegal activities.
* Engaging in fraud, money laundering, or unauthorized commercial solicitation.
* Reverse engineering, decompiling, or interfering with Service security.
* Impersonating others or submitting false information.
* Violating intellectual property rights or privacy of third parties.
* Using automated scripts (e.g., bots) except as permitted. Violations may result in account termination, legal action, and reporting to authorities.
5. Intellectual Property Rights
All Service content, including software, designs, trademarks (e.g., “XOOX” logo), and materials, is owned by us or our licensors and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, revocable license to access and use the Services for personal, non-commercial purposes. User-generated content (e.g., pet photos) grants us a worldwide, royalty-free, perpetual license to use, reproduce, and distribute for Service promotion and welfare initiatives, with appropriate attribution and privacy safeguards.
6. Payments, Tokens, and Financial Transactions
* Payments: Processed through secure third-party providers; you authorize charges for applicable fees.
* XOOX Tokens: Utility tokens for rewards and transactions, not securities or investments. Token value is volatile; no guarantees of appreciation or liquidity. Transactions are irreversible due to blockchain nature.
* Taxes: You are responsible for all applicable taxes on transactions. We disclaim liability for losses from market fluctuations or technical failures.
7. Disclaimers and Limitation of Liability
Services are provided without warranties, including merchantability, fitness for purpose, or non-infringement. We do not guarantee uninterrupted, error-free operation or absence of viruses. To the maximum extent permitted by law, our aggregate liability for any claims shall not exceed the amount you paid us in the preceding 12 months (or $100 if no payments). We are not liable for indirect, consequential, punitive, or incidental damages, including lost profits or data loss, even if advised of the possibility.
8. Indemnification
You agree to indemnify, defend, and hold harmless the XOOX Foundation, its officers, directors, employees, and affiliates from any claims, liabilities, damages, or expenses arising from your use of the Services, violations of these Terms, or infringement of third-party rights.
9. Dispute Resolution and Governing Law
Any disputes arising from these Terms shall be resolved through binding arbitration in Seoul, South Korea, under the rules of the Korean Commercial Arbitration Board (KCAB), excluding class actions. These Terms are governed by Korean law, without regard to conflict of laws principles. You consent to the exclusive jurisdiction of Korean courts for non-arbitrable matters.
10. Termination and Survival
We may terminate your access for any reason, with or without notice. Upon termination, your obligations (e.g., indemnification, IP licenses) survive.
11. Miscellaneous Provisions
* Severability: Invalid provisions do not affect the remainder.
* Waiver: No waiver of breaches unless in writing.
* Assignment: We may assign these Terms; you may not without consent.
* Force Majeure: No liability for delays due to uncontrollable events.
* Entire Agreement: These Terms supersede prior agreements.
